It’s a corporation

I received my certificate of incorporation from the Secretary of State’s office yesterday. Goldbox Media Group, Inc. was officially formed on 6/12/2006. The plan is to start development on our first Flash-based multiplayer online game by the end of this summer. I still need to finish the business plan and find a 3D modeler/animator.

    Kameron,

Not sure what state you’re in, but is there a reason you went with a C-Corp instead of an LLC? There are a whole host of reasons for small, privately held and run entities to go with an LLC over a C-Corp. Perhaps you already considered these. In any event, if you did opt for a C-Corp, you’ll probably want to elect sub-chapter S status for federal tax purposes.

We are a sub-chapter S, incorporated in Washington state. We went with C-Corp over LLC because of shareholders. I can’t remember the specifics, I’d have to go back over my notes.

Understood. You’ve obviously given it plenty of thought. Good luck and congrats!

BTW: That was a pretty cool exchange. I love listening to intelligent people speak.

    Congrats, Kam!
